Airbus Enters Agreement with Spirit AeroSystems

Airbus has signed a binding term sheet agreement with Spirit AeroSystems, considering the potential acquisition of several major Airbus-related activities. These include the production of A350 fuselage sections in Kinston, North Carolina, USA, and St. Nazaire, France; A220 wings and mid-fuselage in Belfast, Northern Ireland, and Casablanca, Morocco; and A220 pylons in Wichita, Kansas, USA.

This agreement aims to enhance the stability of supply for Airbus’s commercial aircraft programmes, ensuring a more sustainable operational and financial future for the various Airbus work packages currently managed by Spirit AeroSystems.

The potential transaction includes the acquisition of these activities, with Airbus set to receive $559 million from Spirit AeroSystems for a nominal consideration of $1.00, subject to adjustments based on the final transaction parameters.

Finalising the definitive agreements is contingent upon a due diligence process. Although there is no certainty of a transaction being concluded, all parties are committed to working in good faith to advance and complete this process as swiftly as possible.
